Terms of Service

ChartOdds is owned and operated by GRTNSS International LLC, a New York limited liability company with its principal office at 224 W 35th St, Ste 500 #671, New York, NY 10001 ("GRTNSS," "ChartOdds," "we," "us," or "our"). Charges on your credit card or bank statement may appear as GRTNSS INTERNATIONAL or CHARTODDS.

1. Agreement to These Terms

By accessing, registering for, or using ChartOdds (the "Service"), you agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.

2. The Service

ChartOdds is a subscription-based research platform providing market data, technical and fundamental analysis, historical statistics, backtested signal probabilities, watchlists, AI-generated content, and related tools. The Service is provided solely for informational and educational purposes.

3. Not Financial, Investment, Legal, or Tax Advice

GRTNSS is not a registered broker-dealer, investment adviser, financial planner, or tax advisor. We are not a member of FINRA, SIPC, or any similar organization. Nothing on the Service is a recommendation, solicitation, offer, or endorsement to buy, sell, or hold any security, cryptocurrency, derivative, or other asset.

All content — including probabilities, backtests, earnings statistics, AI outputs, watchlists, chat responses, news summaries, and "odds" — is historical and informational. Past performance does not guarantee future results. Forward-looking statements are inherently uncertain.

Trading and investing involve substantial risk of loss, including the risk of losing more than your initial investment in leveraged products. You are solely responsible for your own investment decisions, tax treatment, and legal compliance, and you should consult a licensed professional before acting on any information from the Service.

4. Market Data and Third-Party Content

Market data, company fundamentals, news headlines, and other third-party content are provided by third-party vendors. Such data may be delayed, incomplete, or contain errors. The Service is not intended for real-time trading decisions, and you may not redistribute, resell, or use third-party data in violation of the applicable vendor's terms.

5. AI-Generated Content

Certain features use large-language-model or other AI systems to generate responses, summaries, or analyses. AI output may be inaccurate, out of date, or fabricated and must not be relied upon as a sole basis for any decision. You are responsible for independently verifying any AI-generated content before acting on it.

6. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into this agreement. You may not use the Service if you are located in, or a resident of, any country or region subject to U.S. embargoes or sanctions, or if you are on a U.S. government list of prohibited or restricted parties. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, and you must notify us promptly of any unauthorized use.

7. Subscriptions, Billing, and Auto-Renewal

Some features require a paid subscription. By providing a payment method and starting a subscription, you authorize GRTNSS and our payment processor to charge your payment method on a recurring basis until you cancel.

• Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) at the then-current rate, until canceled.
• Free trials: If you start a free trial, your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel before the trial ends.
• Cancellation: You may cancel at any time from your Billing page. Cancellation stops future renewals. Access continues through the end of the current paid period.
• Refunds: Except where required by applicable law, all fees are non-refundable, including for partial periods, unused features, or downgrades.
• Price changes: We may change pricing for future billing periods. We will notify you in advance as required by law, and price changes will not take effect until your next renewal.
• Taxes: Fees are exclusive of taxes unless stated otherwise; you are responsible for any applicable sales, use, or similar taxes.
• Failed payments: If a charge is declined, we may suspend or downgrade your access until payment is received.

California, New York, and certain other residents: you have the right to cancel an automatically renewing subscription at any time through your Billing page, without penalty.

8. Acceptable Use

You agree not to:

• Use the Service in violation of any law, regulation, or third-party right.
• Attempt to gain unauthorized access to the Service, accounts, or related systems.
• Probe, scan, reverse-engineer, or test the vulnerability of the Service.
• Interfere with the operation, security, or integrity of the Service, including via bots, scrapers, or automated tools.
• Copy, resell, redistribute, scrape, or mirror the Service or its content, or use it to build a competing product.
• Share your account, resell access, or misrepresent your identity.
• Upload, transmit, or store unlawful, infringing, harassing, or malicious content.
• Use the Service to manipulate markets, engage in insider trading, or violate securities laws.

9. User Content

You retain ownership of content you submit to the Service (such as notes, watchlist entries, or chat inputs). You grant GRTNSS a worldwide, non-exclusive, royalty-free license to host, store, process, and display your content solely to operate and improve the Service. You are solely responsible for your content and represent that you have all rights necessary to submit it.

10. Intellectual Property

The Service, including all software, content, branding, designs, logos, probability models, and underlying materials, is owned by GRTNSS or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service for your personal, internal use. These Terms do not grant you any other rights.

11. DMCA / Copyright Complaints

If you believe content on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act to GRTNSS International LLC, Attn: DMCA Agent, 224 W 35th St, Ste 500 #671, New York, NY 10001, or by email to team@chartodds.com, including all information required by 17 U.S.C. § 512(c)(3).

12. Availability and Changes

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free. We may add, modify, or remove features at any time, and we may schedule maintenance that temporarily limits access.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT. GRTNSS DOES NOT WARRANT THAT ANY FORECAST, PROBABILITY, BACKTEST, SIGNAL, OR AI OUTPUT WILL BE ACCURATE, PROFITABLE, OR SUITABLE FOR ANY PURPOSE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRTNSS AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

15. Indemnification

You will indemnify and hold GRTNSS and its affiliates, officers, employees, and agents harmless from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, your breach of these Terms, or your violation of any law or third-party right.

16. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, created risk or harm, or if we discontinue the Service. You may stop using the Service at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

17. Governing Law; Arbitration; Class-Action Waiver

PLEASE READ CAREFULLY — THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in New York County, New York. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver: You and GRTNSS each agree that disputes will be brought only in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Opt-out: You may opt out of arbitration by sending written notice to GRTNSS International LLC at the address above within 30 days of first accepting these Terms.

Small-claims exception: Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction. Claims not subject to arbitration will be brought exclusively in the state or federal courts located in New York County, New York, and the parties consent to personal jurisdiction and venue there.

18. Export Controls and Sanctions

You represent and warrant that you are not located in, and will not use the Service from, any jurisdiction subject to comprehensive U.S. sanctions, and that you are not on any U.S. government list of restricted parties. You agree to comply with all applicable export-control laws.

19. Force Majeure

GRTNSS will not be liable for any delay or failure caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility outages, data-provider failures, or governmental actions.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date and, where material, provide additional notice (for example, by email or in-product notice). Your continued use of the Service after the effective date means you accept the updated Terms.

21. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and GRTNSS regarding the Service and supersede any prior agreements on that subject. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or successor in connection with a reorganization, merger, or sale of assets. Notices to you may be sent by email or in-product notice; notices to us must be sent to the address above.
